Agreement to Terms
By accessing or using Baselign, you agree to these Terms of Service on behalf of yourself or the organisation you represent. If you are using the service for an organisation, you confirm that you have authority to bind that organisation to these terms.
Service Description
Baselign is a software-as-a-service platform for operational teams. The service may include a web portal, Android and iOS field apps, configurable forms, work order and asset management tools, collaboration features, customer-specific environments, and related support services.
Accounts and Access
Customers are responsible for authorised users, access control, and protecting login credentials. You must provide accurate registration information and keep it up to date.
- Do not share credentials in a way that compromises security.
- Use the service only for legitimate business purposes.
- Promptly notify Baselign if you suspect unauthorised access or misuse.
Customer Data
As between Baselign and the customer, the customer retains ownership of operational data, documents, records, and other content submitted to the service. The customer grants Baselign the limited rights needed to host, process, back up, transmit, and display that data in order to provide the service.
Acceptable Use
You agree not to misuse the service or interfere with its normal operation.
- Do not reverse engineer, probe, or attempt to bypass security controls except where permitted by law.
- Do not upload malicious code, unlawful content, or material that infringes the rights of others.
- Do not use the service in a way that could impair availability, integrity, or performance for others.
- Do not use the service for unlawful surveillance, spam, or fraudulent activity.
Mobile Applications
The Android and iOS apps are provided as part of the Baselign service to support field workflows. Device permissions such as camera, files, or location are only relevant where the customer enables product features that require them. You remain responsible for device security, passcodes, operating system updates, and appropriate workforce policies.
Fees and Subscription Terms
Paid plans, billing frequency, user limits, implementation scope, and any custom commercial terms are defined in the applicable order form, proposal, or other written agreement with the customer. Unless otherwise agreed, fees are non-refundable once billed.
Availability and Changes
We may update, improve, or modify the service from time to time. While we aim for reliable availability, the service may be unavailable during maintenance, infrastructure incidents, or events outside our reasonable control.
Intellectual Property
Baselign and its licensors retain all rights, title, and interest in the software, branding, documentation, and underlying technology, excluding customer data. These terms do not transfer ownership of the service or any intellectual property rights to the customer.
Confidentiality
Each party may receive confidential information from the other. The receiving party must protect that information using reasonable care and may use it only as necessary to perform under the parties' agreement or as otherwise permitted by law.
Disclaimers
Except as expressly stated in a written agreement, the service is provided on an as available basis. To the fullest extent permitted by law, Baselign disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Baselign will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data. Any direct liability will be limited to the amounts paid by the customer for the service during the period defined in the governing customer agreement.
Suspension and Termination
We may suspend or terminate access where necessary to protect the service, investigate suspected misuse, comply with legal obligations, or respond to material breaches. Customers may stop using the service in accordance with their subscription terms and any agreed notice periods.
Changes to These Terms
We may revise these Terms of Service from time to time. Material changes will apply from the date posted or another stated effective date. Continued use of the service after updated terms take effect constitutes acceptance of those terms.
